RELICSxyz offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our website, using our website, using any services on the website offered by us, and/or purchasing something from us on the website, you engage in our "Service(s)" and agree to be bound by the following terms and conditions ("Terms of Service", "Terms"), including those additional terms and conditions and policies referenced herein. Terms of Service apply to all users of the relics.xyz website and the components and features thereof, including without limitation users who are browsers, customers, merchants, and/or contributors of content.

Please read these Terms of Service carefully before accessing and/or using our website. By accessing or using any part of the relics.xyz website you agree to be bound by these Terms of Service. If you do not agree to be bound by the Terms of Service, you are not permitted to access or use the Service. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to relics.xyz website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Section 1 - General Use Terms

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province and/or country of residence, or that you are at least 18 years old or the age of majority in your state, province and/or country of residence and you have given us your consent to allow any of your minor dependents to use this site. If you are under the age of majority, you must review this agreement with your parent or guardian to make sure that you and your parent or guardian understand and agree to it, and may only use the Service under the supervision of an adult.

You may not use our Service to violate any laws in your jurisdiction (including but not limited to copyright and trademark laws)

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of the Services provided to you. We reserve the right to refuse the Service to anyone for any reason at any time.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 2 - RELICS

Relics.xyz is a marketplace whereby we sell non-fungible tokens (NFTs) containing digital art (i.e. music, video, visual art, etc.). These NFTs are called “RELICS” and “IDOLS” and herein are referred to as “RELIC” or “RELICS”. Users of the website wishing to purchase RELICS must have a metamask.io account (or similar) and Ethereum wallet. Users are entirely responsible for the safety and management of their own Ethereum wallet and validating all transactions and contracts generated by this website before approval. As the RELICSxyz NFT smart contract runs on the Ethereum network, there is no ability to undo, reverse or restore any transactions. Transactions are non-refundable purchases and the RELICS cannot be returned for your original purchase price under any circumstance.

Each RELIC is an NFT on the Ethereum blockchain. When you purchase a RELIC, you own the underlying NFT, and are granted a royalty-free license to use the digital art contained therein as described below. Ownership of the RELIC is mediated entirely by the smart contract and the Ethereum Network: at no point may we seize, freeze or otherwise modify the ownership of any RELIC.

If you elect to purchase a RELIC through our website, any financial transactions that you engage in will be conducted solely through the Ethereum network. We will have no liability to you or to any third party for any claims or damages that may arise as a result of any transactions that you engage or any other transactions that you conduct via the Ethereum network.

Ethereum requires the payment of a transaction fee (“Gas Fee”) for every transaction that occurs on the Ethereum network. The Gas Fee funds the network of computers that run the decentralized Ethereum network. This means that you will need to pay a Gas Fee for each transaction.

Subject to your continued compliance with these Terms, we grant you a worldwide, royalty-free license to use, copy and display the purchased RELIC, and digital art contained therein, solely for the following purposes: (i) for your own personal, non-commercial use; (ii) for non-commercial purposes as part of a marketplace that permits the purchase and sale of your RELIC NFT, provided that the marketplace cryptographically verifies each RELIC owner's rights to display the digital art contained within the RELIC to ensure that only the actual owner can display such digital art; or (iii) for non-commercial purposes as part of a third party website or application, which along with RELICSxyz, permits the inclusion, involvement or participation of RELICS, provided that the website/application cryptographically verifies each RELIC owner's rights to display the RELIC's digital art, and provided that the digital art is no longer visible once the owner of the RELIC leaves the website/application.

In addition to the above, you accept, acknowledge and assume each of the following risks:

• To the extent that you sell your RELIC NFT, please be aware that the prices of NFTs are extremely volatile and fluctuations in the prices of other NFTs and impact the price of your RELIC both positively and negatively. Given the volatility, NFTs such as RELICS should not be considered an investment. You assume all risks in that connection.
• Ownership of a RELIC confers ownership of the RELIC only. Accordingly, no information on this website (or any other documents mentioned therein) is or may be considered to be advice or an invitation to enter into an agreement for any investment purpose. Further, nothing on this website qualifies or is intended to be an offering of securities in any jurisdiction nor does it constitute an offer or an invitation to purchase shares, securities or other financial products. Due to the artistic nature of the project, we have not been registered with or approved by any regulator in any jurisdiction. It remains your sole responsibility to assure that the purchase of the RELIC is in compliance with laws and regulations in your jurisdiction.
• You assume all risks associated with using an Internet-based currency, including, but not limited to, the risk of hardware, software and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your wallet.
• NFTs, cryptocurrencies and blockchain technology are relatively new and the regulatory landscape is unsettled. New regulations could negatively impact such technologies impacting the value for your RELIC. You understand and accept all risk in that regard.
• You assume all responsibility for any adverse effects of disruptions or other issues impacting Ethereum or the Ethereum platform.

Section 3 - Accuracy, Completeness And Timeliness Of Information

We are not responsible if information made available on this website is not accurate, complete or current. The material on this website is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this website is at your own risk.

This website may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this website at any time, but we have no obligation to update any information on our website. We reserve the right, but are not obligated, to limit the sales of RELICS via our website or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of RELICS or any services that we offer or are offered via our website. All descriptions of RELICS or RELICS pricing on our website are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any Relic or service at any time. Any offer for any Relic or service made on this website is void where prohibited.

We do not represent, warrant or covenant that the quality of any Relics, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

Section 6 - Purchase Information

We reserve the right to refuse any order you place on the relics.xyz website. We may, in our sole and absolute discretion, limit or cancel quantities purchased per person, per household or per order. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the contact information (if any) provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. You agree to provide current, complete and accurate purchase information for all purchases made on our website.

Section 7 - Optional Tools

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools on an "as is" and "as available" basis, without any warranties, representations or conditions of any kind and without any endorsement. Occasionally there may be information on our website or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the website or its content (including but not limited to the Subscription Music): (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet; (l) to produce any content that advertises the use of liquor, tobacco, weapons, firearms, illicit drugs, violence, harassment, sexually explicit content, and items or acts of a similar nature; (m) is in violation of the RELICSxyz Code of Ethics; or (n) to commit any acts or create any content that are, in RELICSxyz's sole and absolute discretion, of an overly political nature and/or would be considered by a reasonable person to be inappropriate. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

We do not guarantee, represent or warrant that your use of our Service will be uninterrupted, timely, secure or error-free.

In no case shall RELICSxyz, its parents, shareholders, affiliates, subsidiaries or partners, and each of its and their directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service, RELICS or any other products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Section 14 - Indemnification

You agree to indemnify, defend and hold harmless RELICSxyz, its affiliates, parents, shareholders, subsidiaries and partners, and each of its and their officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable legal fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Section 15 - Severability

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Section 16 - Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our website.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

Section 17 - Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this website or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service (including the Subscription Service), superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

Section 18 - Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the province of British Columbia and the federal laws of Canada applicable therein. You expressly agree that exclusive jurisdiction for any claim or dispute with RELICSxyz or relating in any way to your use of the website, Service and Subscription Service resides in the courts of the province of British Columbia.

Section 19 - Dispute Resolution

You and RELICSxyz agree to arbitrate any dispute, controversy or claim arising out of, or relating to, these Terms of Service or your use of the Service, whether as to its interpretation, or to any act or failure to act, or refusal to perform the whole or any part thereof, shall be resolved by confidential binding arbitration in accordance with the terms hereof, except that you and RELICSxyz are not required to arbitrate any dispute in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets or patents. You must notify RELICSxyz in writing of any dispute, controversy or claim within thirty (30) days of when it arises. Notice to RELICSxyz shall be sent to [email protected]. You and RELICSxyz further agree to attempt informal resolution prior to any demand for arbitration and that arbitration shall be conducted under: (i) the International Commercial Arbitration Act (British Columbia), in the event that RELICSxyz is resident or has its registered office located outside of Canada; or (ii) in all other cases, the Commercial Arbitration Act (British Columbia). Each party shall be entitled to select one (1) arbitrator and the selected arbitrators will appoint a third arbitrator. The arbitration will be conducted. The decision of the arbitration panel will be final and binding on the parties.

Section 20 - Assignment

RELICSxyz is entitled to in whole or in part assign its rights and obligations under these Terms of Service to a third party. You may not assign these Terms of Service to any party.

Section 21 - Term And Termination

These Terms of Service will continue to be in force until terminated by RELICSxyz. If RELICSxyz terminates these Terms of Service for any reason or if you violate any of the terms or conditions in these Terms of Service or any related documents, your right to use the Service or Subscription Service will immediately terminate.

We reserve the right, at our sole and absolute discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website.
