Overview

This website is operated by RELICSxyz Inc. ("RELICS", "we", "us", "our"). Throughout the site, "you" refers to the person accessing or using it. By accessing or using relics.xyz (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site.

The Site is an informational site describing our work, experiments and products. We may update, change or replace any part of these Terms by posting updates to this page. Your continued use of the Site after changes are posted constitutes acceptance of those changes.

Section 1: Use of the Site

You may use the Site only if you can form a binding contract in your jurisdiction, and only in compliance with these Terms and all applicable laws. If you are under the age of majority where you live, you may use the Site only with the involvement of a parent or guardian.

You agree not to: (a) use the Site for any unlawful purpose; (b) interfere with or disrupt the Site, its servers or its security features; (c) transmit viruses, malware or any code of a destructive nature; (d) scrape, spider or harvest data or personal information from the Site; (e) misrepresent your identity or affiliation; or (f) reproduce, duplicate, copy, sell or exploit any portion of the Site without our express written permission.

We reserve the right to refuse or terminate access to the Site to anyone for any reason at any time.

Section 2: Our Products and Third-Party Platforms

RELICS builds music and entertainment products (such as avatar items, emotes and live events) that are made available inside third-party games and platforms. Those products are purchased, accessed and used on the relevant third-party platform, under that platform's own terms of service, community standards and payment systems. We do not sell products or process payments on this Site.

Your relationship with any third-party platform, including any account you hold there, any virtual currency you use there, and any purchase you make there, is governed solely by that platform's terms and policies. We are not responsible for the availability, policies or conduct of any third-party platform, and references on this Site to products available on such platforms do not constitute an offer for sale by us on this Site.

Section 3: Intellectual Property

The Site and its content (including text, graphics, logos, artwork, code and design) are owned by RELICS or its licensors and are protected by copyright, trademark and other intellectual property laws. Music and recordings featured in our products are used under license and remain the property of their respective rights holders. Nothing in these Terms grants you any right to use our trademarks, branding or content without our prior written permission.

Section 4: Accuracy of Information

The material on this Site is provided for general information. We work to keep it accurate, and metrics we publish are presented in good faith, but we do not warrant that any information is complete, current or error-free, and historical information is necessarily not current. We may modify the contents of the Site at any time without notice, and we have no obligation to update any information. Any reliance on the material on this Site is at your own risk.

Section 5: Submissions and Communications

If you send us ideas, proposals, suggestions, demos or other materials, whether through a form on this Site, by email or otherwise ("submissions"), you agree that we may use them without restriction or compensation, and that we are under no obligation to keep them confidential or to respond. Do not send us anything you consider confidential or proprietary. You agree your submissions will be accurate, lawful, and free of malicious code, and will not violate any third party's rights.

Section 6: Third-Party Links

The Site may contain links to third-party websites and platforms that are not affiliated with us. We are not responsible for the content, accuracy, policies or practices of any third-party site, and linking does not imply endorsement. Review the applicable third party's terms and policies before engaging in any transaction with them.

Section 7: Disclaimer of Warranties

The Site is provided "as is" and "as available", without representations, warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that your use of the Site will be uninterrupted, timely, secure or error-free.

Section 8: Limitation of Liability

To the maximum extent permitted by law, in no case shall RELICS, its parents, shareholders, affiliates, subsidiaries or partners, or any of its or their directors, officers, employees, agents, contractors, suppliers, service providers or licensors, be liable for any injury, loss or claim, or for any direct, indirect, incidental, punitive, special or consequential damages of any kind, including lost profits, lost revenue, lost data or replacement costs, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of the Site or of any product or service referenced on it, even if advised of the possibility of such damages. In jurisdictions that do not allow such exclusions or limitations, our liability is limited to the maximum extent permitted by law.

Section 9: Indemnification

You agree to indemnify, defend and hold harmless RELICS, its affiliates, parents, shareholders, subsidiaries and partners, and each of its and their officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers and employees, from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

Section 10: Severability, Waiver and Entire Agreement

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed without affecting the remaining provisions. Our failure to exercise or enforce any right or provision of these Terms is not a waiver of it. These Terms, together with any policies posted on this Site, constitute the entire agreement between you and us regarding your use of the Site and supersede any prior agreements or communications on that subject.

Section 11: Assignment

We may assign our rights and obligations under these Terms in whole or in part to a third party. You may not assign these Terms.

Section 12: Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Subject to Section 13, you agree that the courts of the Province of British Columbia have exclusive jurisdiction over any claim or dispute with RELICS relating to your use of the Site.

Section 13: Dispute Resolution

You and RELICS agree to attempt to resolve any dispute arising out of or relating to these Terms or your use of the Site informally first: notify us in writing at [email protected] within thirty (30) days of the dispute arising. Any dispute not resolved informally shall be resolved by confidential binding arbitration in British Columbia under the Commercial Arbitration Act (British Columbia) or, where RELICS is resident outside Canada, the International Commercial Arbitration Act (British Columbia), except that either party may seek equitable relief in court for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets or patents. The decision of the arbitrator(s) will be final and binding on the parties.

You can review the most current version of these Terms at any time on this page. We reserve the right to update, change or replace any part of these Terms by posting updates to this Site. It is your responsibility to check this page periodically. Your continued use of the Site after changes are posted constitutes acceptance of those changes.
